Terms and Conditions of Service

These General Conditions ("Conditions") govern the use of the Bi-Rank platform (Piattaforma white-label di GEO (Generative Engine Optimization) per agenzie), provided by BinaryCode srl, a company incorporated under Italian law, with office at Via S. Carlo 157, 81100 Caserta (CE), Italia, VAT 04913370617 ("Provider"). By using the service the user ("Customer") accepts these Conditions.

1. Subject

The Provider grants the Customer access, on a SaaS (software-as-a-service) basis, to the Bi-Rank platform for analysing and optimising content presence in generative answer engines (GEO), according to the subscribed plan. The service is aimed at parties acting in the course of their professional or business activity (B2B).

2. Account and registration

The Customer must provide accurate, up-to-date information and is responsible for safeguarding credentials and for any activity carried out through the account. The Customer must promptly report any unauthorised use.

3. Plans, free trial and fees

3.1 The service is offered according to the plans and prices shown at subscription. A free trial with usage limits may be available; after the trial, full access requires activating a paid plan.

3.2 Fees are due according to the plan's frequency (e.g. monthly). Unless otherwise stated, the subscription renews automatically at the end of each period by charging the registered payment method, until cancellation.

3.3 Prices are exclusive of taxes unless stated otherwise. Invoicing is performed electronically via the Italian Interchange System (SDI).

4. Withdrawal and cancellation

4.1 The Customer may cancel renewal at any time from the account area; cancellation takes effect at the end of the period already paid, without refund of the current period save as provided by mandatory law.

4.2 As the service is supplied to professionals/businesses, the consumer right of withdrawal does not apply. Where the Customer qualifies as a consumer, mandatory legal protections apply.

5. Payments

Payments are processed via a secure gateway (Axerve/Fabrick, Banca Sella Group). The Provider does not store full card data. In case of non-payment the Provider may suspend or limit the service.

6. Acceptable use

The Customer agrees not to: (a) use the service for unlawful purposes or in breach of third-party rights; (b) attempt to compromise the platform's security or integrity; (c) perform unauthorised scraping, reverse engineering or unagreed resale; (d) upload unlawful content. The Provider may suspend the account upon breach.

7. Data processing and roles

For personal data processed through the platform on behalf of the Customer (e.g. data of the agency's end clients), the Customer acts as Data Controller and the Provider as Processor under Art. 28 GDPR, per the Data Processing Agreement (DPA). For the Customer's account data, the Privacy Policy applies.

8. Intellectual property

The platform, software, trademarks and the Provider's content remain its exclusive property. The Customer is granted a non-exclusive, non-transferable licence limited to the subscription term. Data and content entered by the Customer remain the Customer's property.

9. Service levels and limitations

The service is provided "as is" and "as available". The Provider acts with professional diligence but does not guarantee specific ranking results in generative engines, which depend on external factors. Interruptions for maintenance or causes beyond the Provider's control are possible.

10. Limitation of liability

To the extent permitted by law, the Provider's total liability is limited to the fees paid by the Customer in the 12 months preceding the event. Liability for indirect damages, loss of profit or data is excluded, save for wilful misconduct or gross negligence.

11. Changes to the Conditions

The Provider may amend these Conditions upon notice. Changes apply from the next renewal; continued use of the service constitutes acceptance.

12. Governing law and jurisdiction

These Conditions are governed by Italian law. Any dispute falls under the exclusive jurisdiction of the Foro di Santa Maria Capua Vetere (Caserta), save for the mandatory consumer forum where applicable.
